Terms of Service

These Terms of Service ("Terms") govern your use of the AI-native software development services provided by Bottleneck Logic, operating from Colorado, United States, including the Sprint Audit, Systems Build, and Forward Deployed plans described on this website. By engaging our services, you agree to these Terms.
1. Services
Bottleneck Logic provides AI-native operational systems development and consulting for businesses with complex operations — including manufacturers, distributors, field-service companies, and other operators — as described below:
- Sprint Audit ($500 one-time fee, 2 weeks): Includes a focused operational systems assessment, bottleneck and constraint mapping, a prioritized roadmap of highest-leverage systems, recommended architecture and approach, and 30 days of follow-up support.
- Systems Build ($999 one-time fee, 30 days): Delivers one shippable production system — such as a visibility layer, internal tool, or quoting system — with fixed-scope implementation and full ownership. Includes 30 days of post-delivery support. Bottleneck Logic will work to resolve any issues with deliverables post-delivery until resolved, provided issues are within the scope of the agreed service.
- Forward Deployed ($1,999/month, 1-month minimum): Includes Sprint Audit and the first Systems Build in the first 30–45 days, plus dedicated AI-native systems capacity, continuous improvement and expansion of the operational layer, ongoing prioritization and roadmap management, new integrations and automations, and weekly progress updates.
Bottleneck Logic will work to achieve the desired outcomes discussed during onboarding but does not guarantee specific business results, as outcomes depend on client systems, information provided, and client implementation of deliverables.
Across all plans, Bottleneck Logic absorbs all tooling and tech stack costs — including Claude Code, Bolt.new, Trae AI, Supabase, and other AI-native tools used in service delivery. Clients do not take on these costs during an active engagement.
2. Third-Party Tools and Tooling Costs
Bottleneck Logic operates on an AI-native tech stack. The following terms govern how tooling costs are handled across plans:
- Included Tooling Coverage (All Plans): Bottleneck Logic covers all costs associated with AI-native tooling used during service delivery, including but not limited to Claude Code, Bolt.new, Trae AI, Supabase, and other third-party platforms required to build and ship your solution. Clients are not billed for, invoiced by, or exposed to these costs during an active engagement.
- Systems Build — Project Hand-Off and Cost Transfer: Upon delivery of a Systems Build project, ownership of the codebase and all associated deliverables transfers to the client. If the client wishes to continue operating or hosting any third-party services used in the project — such as Supabase (database and backend), external APIs, or other platform subscriptions — those ongoing platform costs become the client's responsibility from the point of hand-off. Bottleneck Logic does not retain access to or liability for third-party accounts after delivery.
- Systems Build — Hand-Off Documentation: At the time of project delivery, Bottleneck Logic will provide documentation identifying all AI-native tooling and third-party services used in the build. This documentation is intended to help clients set up their own accounts, transfer ownership of services, or make informed decisions about which platforms to continue using after hand-off.
- Forward Deployed — Ongoing Tooling Coverage: For the duration of an active Forward Deployed subscription, Bottleneck Logic continues to absorb all tooling costs associated with ongoing development and service delivery. Forward Deployed clients do not need to set up, manage, or monitor consumption on any of the platforms used by Bottleneck Logic. There is no setup required, no usage billing passed through, and no cost exposure on the client side. This is an explicit and ongoing included benefit of the Forward Deployed plan.
3. Client Responsibilities
Clients must:
- Provide accurate, complete, and timely information, including access to systems, tools, or data, as needed to deliver services.
- Participate in onboarding and provide prompt feedback during build and iteration cycles to avoid delays.
- Implement deliverables or recommendations correctly to achieve intended outcomes.
- Comply with third-party terms for tools used in service delivery (e.g., Stripe, Cal.com).
4. Payment
Payments are processed via Stripe and due as follows:
- Sprint Audit: Full payment ($500) due upon booking.
- Systems Build: Full payment ($999) due upon booking.
- Forward Deployed: Monthly payment ($1,999) due at the start of each billing cycle.
Late payments may result in a pause or suspension of active work. Non-payment may result in termination of services and withholding of undelivered work product.
5. Refunds and Cancellations
Refunds are subject to the following:
- Forward Deployed (Monthly Subscription):
- Eligible for a 50% refund if cancellation is requested within the first 15 days of the billing cycle
- No refunds for cancellations after the 15-day period
- The 15-day period starts on the first day of each billing cycle
- Refunds will be processed through the original payment method within 5–7 business days
- Cancel anytime after the 1-month minimum commitment — no long-term contracts
- Systems Build: No refunds after work has commenced, except for unresolved issues that are clearly within the agreed scope of the service, as described in Section 1.
- Sprint Audit: No refunds after the engagement is scheduled.

6. Intellectual Property and Code Ownership
Upon completion and final payment, clients receive full ownership of all custom code, configurations, and deliverables built specifically for them. Clients may use, modify, and distribute their deliverables without restriction. Bottleneck Logic retains no ongoing claim to client-owned code. Bottleneck Logic retains ownership of all logos, trademarks, internal tooling, and proprietary frameworks, which are protected by copyright and trademark laws. Clients may not resell or redistribute Bottleneck Logic's own proprietary materials without written consent.
7. Limitation of Liability
Bottleneck Logic is not liable for any direct, indirect, incidental, or consequential damages arising from the use of our services or deliverables, including but not limited to loss of profits, data, or business opportunities. Our total liability is limited to the amount paid for the specific service engagement giving rise to the claim.
8. Termination
Either party may terminate services with 30 days' written notice, subject to refund policies in Section 5. Bottleneck Logic may terminate immediately for non-payment, breach of these Terms, or misuse of deliverables.
9. Dispute Resolution
Disputes shall be resolved through good-faith negotiation. If unresolved, disputes will be subject to binding arbitration in Colorado, United States, under the rules of the American Arbitration Association (AAA). Governing law is the law of the State of Colorado.
10. Changes to Terms
We may update these Terms periodically. Clients will be notified of significant changes via email or website notice. Continued use of our services after notice constitutes acceptance of the updated Terms.
